Secure Infrastructure Industry-standard encryption and security protocols protect your information from unauthorised access, loss, or alteration.

No Third-Party Sales We do not sell, trade, or rent your personal or organisational data to any third party for any marketing purpose.

Purposeful Usage Information gathered is used exclusively for service delivery, account management, and the support you signed up for.

Acceptable Use Policy

Purpose

This Acceptable Use Policy ("AUP") defines what Zimble One Private Limited expects of customers while using our services. Using any of our services constitutes acceptance of this AUP and our Terms of Service.

The AUP exists to ensure reliable, secure service for all customers; maintain compliance with applicable laws; and preserve the security and performance of our systems and the broader internet.

Prohibited Activities

Illegal use — Services may not be used for illegal purposes or to support illegal activities of any kind.

Harm to minors — Any use that harms or attempts to harm minors, including prohibited content of any description.

Spam & unsolicited email — Sending unsolicited commercial or bulk email is expressly prohibited and will result in immediate termination.

Harassment or threats — Transmitting material that threatens, harasses, or endangers any person or property.

Unauthorised access — Attempting to access accounts, systems, or networks without authorisation — including hacking, probing, or cracking tools.

Copyright infringement — Transmitting or distributing material that infringes copyrights, trademarks, patents, or other intellectual property rights.

Malware distribution — Intentional distribution of software designed to damage, harass, or disrupt systems or individuals.

Fraudulent activity — Using services for financial scams, pyramid schemes, or any form of fraudulent offer.

Network disruption — Denial of service attacks, flooding, or any activity that degrades network performance for others.

Account sharing — Sharing account credentials or permitting unauthorised access. You are responsible for all activity under your account.

Enforcement & Reporting

Violations may result in a written warning, service suspension, account termination, or legal action — without prior notice in flagrant cases. Zimble One will cooperate fully with law enforcement in investigating suspected violations.

To report a suspected violation, write to hello@zimbleone.com with the IP address, date/time, and any evidence of the alleged activity.

Disputes under this policy are governed by the laws of India. Courts of Delhi shall have exclusive jurisdiction. Arbitration per The Arbitration and Conciliation Act, 1996, with proceedings in New Delhi.

Terms of Service

Overview

These Terms of Service ("TOS") govern the use of all services offered by Zimble One Private Limited. All customers must comply with this TOS and our Acceptable Use Policy. Use of our services constitutes acceptance of these terms.

Key Terms at a Glance

Orders

Services are initiated via Purchase Orders (POs) or Statements of Work (SOWs) signed by both parties. In case of conflict with an ordering document, this TOS prevails.

Invoice Disputes

Disputes must be raised in writing within 15 calendar days of the invoice date. Invoices not disputed within that window are deemed accepted and payable.

Non-Payment

Services may be suspended after 5 calendar days' written notice of non-payment.

Pricing & Taxes

Prices exclude taxes, freight, and handling unless stated. Changes in tax rates or foreign exchange are borne by the Client. Pricing may be revised at the end of the initial service term.

Refunds

All payments are non-refundable.

Confidentiality

Both parties hold Confidential Information in confidence for 2 years from first disclosure. Publicly available, independently developed, or third-party-sourced information is excluded.

Warranty & Liability

Services are provided on an "as is" basis. Zimble One's liability is limited to credit allowances under the applicable SLA — the sole remedy available to the Client.

SLA

SLA terms are in each ordering document. SLAs do not apply to issues caused by Client actions, Force Majeure, or scheduled maintenance notified 48+ hours in advance.

Termination

Either party may terminate on material breach with 30 calendar days' written notice and cure period. Immediate termination is available upon bankruptcy or insolvency of either party.

Intellectual Property

Neither party gains ownership of the other's IP by virtue of this agreement. All pre-existing IP remains with its owner.

Governing Law

Governed by the laws of India. Disputes first go through mutual discussion (30 days), then arbitration under the Arbitration and Conciliation Act, 1996, in New Delhi.

Revisions

Zimble One reserves the right to revise these Terms of Service at any time. Continued use of our services following any revision constitutes acceptance of the updated terms.

Note: All payments made to Zimble One Private Limited are non-refundable.
